Terms of Service

By using IndicaOnline website (“Site”) and application for iPad, iPhone, AppleTV and Android  (“Service”) operated by IndicaOnline ("Service"), or any services of IndicaOnline (“IndicaOnline”), you are agreeing to be bound by the following terms and conditions ("Terms of Service"). IndicaOnline reserves the right to update and change the Terms of Service from time to time without notice. Any new features that are added to the current Service shall also be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the User Agreement at any time at: http://doct.grigsinc.com/terms. You should review the Terms of Service from time to time for updates and changes. Violation of any of the terms below will result in the termination of your Account. You agree to use the Service at your own risk. Account Terms You must be 18 years or older to use this Service. You must provide your full name, a valid email address, and any other information requested in order to complete the signup process. Your username and password may only be used by one person. Your are responsible for keeping your account and password secure. IndicaOnline can not and will not be liable for any loss or damage from your failure to maintain the security of your account and password. You are responsible for all Content and activity that occurs under your Service account. You may not use the Service for any illegal or unauthorized purpose. You must not violate any laws in your jurisdiction by using the Service. General Conditions Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis. Technical support is only provided to paying account holders and is available via phone, email and integrated helpdesk. You understand that IndicaOnline uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. You must not transmit any worms or viruses or any code of a destructive nature. You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by IndicaOnline. You understand that your Content may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. IndicaOnline does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected. You retain ownership of all content that you provide to the Service. However, you agree to allow others to view your public content, including but not limited to Menus. You expressly understand and agree that IndicaOnline shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if IndicaOnline has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service. The failure of IndicaOnline to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and IndicaOnline and govern your use of the Service, superseding any prior agreements between you and IndicaOnline (including, but not limited to, any prior versions of the Terms of Service). Verbal, physical, written or other abuse (including threats of abuse) of any IndicaOnline customer, employee, member, or officer will result in immediate account termination. IndicaOnline reserves the right to refuse service to anyone for any reason at any time. IndicaOnline reserves the right to modify or terminate the Service for any reason, with or without notice, at any time. Questions about the Terms of Service should be sent to support at support@indicaonline.com Modifications to the Service and Prices IndicaOnline reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Service site (IndicaOnline.com) or the Service itself. IndicaOnline shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. Payments, Refunds, Upgrading and Downgrading A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number. The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes. For any upgrade or downgrade in plan level, the credit card that you provided will automatically be charged the new rate on your next billing cycle. Downgrading your Service may cause the loss of Content, features, or capacity of your Account. IndicaOnline does not accept any liability for such loss. Hardware Return Policy At IndicaOnline, we do everything we can to ensure you are happy with your purchase, but we know that sometimes a product is just not right. We’ve made our return policy as easy as possible. For our full refund policy see the customer agreement below. Requirements Within 30 Days - You must return your product within 30 days of the product being shipped. 20% restocking fee will be deducted plus any shipping charged will be withheld from the original payment amount. Include original packaging and product in new condition - Any returned product(s) must be returned in all of their original packaging, and in like-new condition. IndicaOnline may withhold additional 50% of the purchase price or reject the returned product if there is damage to the product and/or product packaging, and/or packaging is missing. If a product is deemed unfit for return, IndicaOnline will notify the customer that the return has been rejected and no refund will be issued to the customer. The customer can choose one of the following options.

  1. The product will be shipped back to the customer at a shipping cost of $30;

or

  1. The product will be recycled.

If you do not select one of the above options within 14 days of IndicaOnline informing you that your return has been rejected, the product will be recycled. Free Return Shipping - If you received free shipping for the original purchase of your product, you are eligible for free return shipping using a carrier that we’ve selected. Please follow the instructions below. We are not responsible for risk of loss or damage for returning a product during shipment. We only offer free return shipping in Canada and the Continental US. International shipments must purchase return postage to process a return. Instructions As long as your return adheres to the requirements described above, follow these steps to return your product:

  1. After reviewing your return form, print out the return label and securely attach it to a suitable shipping carton.
  2. Drop the package off at the shipping carrier’s closest location.

We will receive and review the products you’ve returned. If the returned products have met all of our return policy requirements, we will process the refund and send you a confirmation email. We are only able to credit the original credit card used to make the purchase. Please allow up to 5 business days for this process. POS Equipment Agreement These terms apply to the purchase of IndicaOnline POS hardware products. By placing an order for POS hardware, you accept and agree to the terms of this agreement. Availability Every effort is made to maintain sufficient stock of all the products we offer. Potential inventory shortages at our distributor may impact our ability to fulfill an order. We reserve the right to cancel an order if we are, for any reason, unable to fulfill the order requirements. If we are unable to fulfill an order, we will notify you by email. Shipping Inventory shortages or other fulfillment issues may cause delays. Your order is shipped using a carrier that we have selected. We might cover the shipping fee as long as the shipping address is located in Canada and the Continental United States. Once you have completed your purchase on our online store, we will provide you with an estimated delivery date. Every effort is made to facilitate delivery of your order on time, and by the estimated delivery date. After your order is processed and fulfilled, we will send you an email containing the order tracking number. Once your order is fulfilled and placed in the hands of our selected shipping carrier, we cannot guarantee any delivery date indicated by the carrier. Returns and Refunds At IndicaOnline, we do everything we can to ensure you are happy with your purchase, but we know that sometimes a product is just not right. You may return your hardware kit within 30 days of shipment to you, as long as it is in new condition and has the original packaging, otherwise restocking fees will be applied. No returns are accepted over 30 days. We only accept returns of the hardware we sell directly to you. We will cover the cost of a hardware return as long as the product was originally shipped to you free of charge, and is shipped back to us using the included return label, and with the appropriate carrier. Priority shipping charges selected at checkout are non-refundable. If we suspect you’re abusing the return policy (for example by returning products on multiple occasions or on a seasonal basis), we reserve the right to refuse your return. End-users and resellers Our hardware packages are designed with love and care specifically for IndicaOnline merchants. We reserve the right to refuse selling and shipping any product to you if we have reason to believe you are not a IndicaOnline customer. Likewise, customer support is only available to the original hardware purchaser. We do not currently sell to or work with resellers. Warranties We sell a combination of our own and third party hardware to create a modern point-of-sale. All third party products resold by us are covered by their original manufacturers’ warranties. Please check with the manufacturer for further information. Limitation of Liability IndicaOnline does not accept liability for the purchase, use or return of POS hardware or other products beyond the remedies set forth herein, including but not limited to any liability for product not being available for use, lost profits, loss of business or for lost or corrupted data or software, or the provision of services and support. IndicaOnline will not be liable for any consequential, special, indirect or punitive damages, even if advised of the possibility of such damages or for any claim by any third party. You agree that for any liability related to the purchase of product, IndicaOnline is not liable or responsible for any amount of damages above the amount invoiced for the applicable product. Some jurisdictions may not enforce all of these limitations, and only the limitations that are lawfully applied to you in your jurisdiction will apply. Cancellation and Termination You are solely responsible for properly canceling your account. You can cancel your account at any time by clicking on the Account Settings button in General Settings screen. The Account Settings screen provides a cancellation link in list of services. An email or phone request to cancel your account is not considered cancellation. All of your Content will be immediately deleted from the Service upon cancellation. This information can not be recovered once your account is cancelled. Your cancellation will take effect immediately and you will not be charged again. Verbal, physical, written or other abuse (including threats of abuse) of any IndicaOnline customer, employee, member, or officer will result in immediate account termination. IndicaOnline reserves the right to modify or terminate your Service for any reason, with or without notice, at any time. info@indicaonline.com This privacy policy governs your (“User”) use of the IndicaOnline website (“Site”) and application for AppleTV, iPad and iPhone  (“Service”) operated by IndicaOnline. We regard your privacy seriously and provide this Privacy Policy to describe which information we collect, how we collect it, how we use it and the circumstances under which we may share it. The Site is not directed at person under 18 years of age. Information Collection and Use When you register with us through the Site or iPad app, as a User, we will ask you for personally identifiable information. This refers to information about you that can be used to contact or identify you. Personally identifiable information includes, but is not limited to, your name, phone number, credit card or other billing information (if applicable), email address and home and business postal addresses. We use your personally identifiable information mainly to provide the Service and administer your inquiries. But the same pieces of information are considered non ­identifying Information when they are taken alone or combined only with other non ­identifying information (for example, your viewing preferences). We may combine your personally identifiable information with non ­identifying Information and aggregate it with information collected from other Users to attempt to provide you with a better experience, to improve the quality and value of the Service and to analyze and understand how our Site and Service are used. We may also use the combined information without aggregating it to serve you specifically, for instance to deliver a product to you according to your preferences or restrictions. We also use your personally identifiable information to contact you with IndicaOnline newsletters, marketing or promotional materials and other information that may be of interest to you. If you decide at any time that you no longer wish to receive such communications from us, please follow the unsubscribe instructions provided in any of the communications.
We do not store any of Your financial information including billing and credit card information. Your financial information is processed by secure, third party services.
We reserve the right to use the name and/or logo of the company you work for in publicity material, advertising or marketing collateral, unless you specifically tell us otherwise. Your name, address details and all other personal information will remain confidential at all times. Disclosure of Information Aggregate Information and Non­Identifying Information. We may share aggregated information that does not include personally identifiable information and we may otherwise disclose non ­identifying Information with third parties for industry analysis, demographic profiling and other purposes. Any aggregated information shared in these contexts will not contain your personally identifiable information. Service Providers. We may employ third­ party companies and individuals to facilitate our Site and Service, to provide the Service on our behalf, to perform Site­ related services (e.g., without limitation, maintenance services, database management, web analytics and improvement of the Site's features) or to assist us in analyzing how our Site and Service are used. These third parties have access to your personally identifiable information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose. Account Information. You agree to keep confidential and not to disclose to any other individual or individuals for all time the user name and password related to Your IndicaOnline account. Cookies Like many websites, we use "cookies" to collect information. A cookie is a small data file that we transfer to your computer's hard disk for record ­keeping purposes. We use cookies for two purposes. First, we utilize persistent cookies to save your registration ID and login password for future logins to the Site. Second, we utilize session ID cookies to enable certain features of the Site, to better understand how you interact with the Site and to monitor aggregate usage by IndicaOnline Users and web traffic routing on the Site. Security IndicaOnline is very concerned with safeguarding your information. We employ administrative, physical and electronic measures designed to protect your information from unauthorized access. We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your unencrypted electronically stored "personal data" (as defined in applicable state statutes on security breach notification) to you via email or conspicuous posting on this Site in the most expedient time possible and without unreasonable delay, insofar as consistent with (i) the legitimate needs of law enforcement or (ii) any measures necessary to determine the scope of the breach and restore the reasonable integrity of the data system.
